1.Acceptance of Terms
By accessing or using Harbora you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the platform.
2.Platform Description
Harbora is a B2B procurement platform for the personal care industry in India. It is not open to general consumers. Access is limited to verified brands and verified independent retailers who have been approved by Harbora.
3.Brand Terms
Brands using Harbora agree to the following:
- Brands must fulfil orders within the dispatch time stated in their listings or as agreed with Harbora.
- Brands are fully responsible for the quality, safety, and accuracy of their product listings, including descriptions, pricing, and images.
- Brands must promptly communicate any fulfilment delays or issues to Harbora.
4.Retailer Terms
Retailers using Harbora agree to the following:
- Retailers must provide accurate and truthful business information during registration, including store name, address, and GST details where applicable.
- Retailers are responsible for payment of all orders placed through their account.
- Retailers may not place orders on behalf of third parties without prior written consent from Harbora.
5.Commission
Harbora charges a 15% commission on all transactions processed through the platform. Brands receive 85% of the order subtotal, paid out after delivery confirmation per the payout schedule communicated at onboarding.
6.Prohibited Use
The following are strictly prohibited on Harbora:
- Reselling or transferring platform access to third parties
- Creating fake or misleading registrations
- Placing fraudulent, test, or non-genuine orders
- Any conduct that disrupts or harms the platform or its users
Violation of these terms may result in immediate suspension or termination of your account.
7.Limitation of Liability
Harbora provides a platform to facilitate transactions between brands and retailers. We are not a party to the sale of goods itself. Harbora is not liable for product quality disputes between brands and retailers beyond the dispute resolution process available on the platform.
To the maximum extent permitted by applicable law, Harbora’s total liability in connection with the platform shall not exceed the amount of fees paid by you to Harbora in the three months preceding the claim.
8.Governing Law
These Terms of Service are governed by and construed in accordance with the laws of India. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts in India.
